Terms of Service

These Terms govern your use of CommitMind, the engineering brain for AI-native teams, operated by CommitMind, Inc. ("CommitMind," "we," "us"). By creating an account, installing the CLI, or otherwise using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

1. Acceptance of terms

By signing up, installing the CLI/daemon, or accessing the dashboard, you accept these Terms and the Privacy Policy. If you use the service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Account & access

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account, and you must provide accurate account information. You are responsible for maintaining the security of your account and for all activity under it. Accounts are for the registered user or organization; do not share credentials beyond your authorized organization members.

3. Acceptable use

You agree not to:

• Reverse engineer, decompile, or disassemble the CommitMind CLI, daemon, or APIs except as permitted by applicable law
• Use CommitMind to capture, store, or transmit content you do not have the right to handle (e.g., third-party proprietary code you are not authorized to send to our AI features)
• Attempt to access another organization's data or impersonate another user
• Use the service to violate any law, regulation, or third-party right
• Resell, redistribute, or sublicense the service without our written permission
• Interfere with or disrupt the integrity or performance of the service (e.g., abusing rate limits, probing for vulnerabilities outside a responsible-disclosure context)

4. Tokens & credentials

CommitMind issues credentials that authenticate your tooling against the cloud API on your behalf:

• an agent token that authenticates the CLI, daemon, and MCP shells per project;
• a user access token and a rotating refresh token (cmr_…) issued at login so you stay signed in. The refresh token rotates on each use; presenting an already-rotated token is treated as potential compromise and revokes the token lineage, requiring a fresh login.

These are credentials that grant access to your project's data. You are responsible for protecting them — do not commit them to source control, share them publicly, or transmit them over unencrypted channels. If you suspect a token has been compromised, revoke it from the dashboard (or run commitmind login to re-establish a fresh lineage). We are not liable for losses caused by compromised tokens that result from your failure to protect them.

5. Your content

You retain ownership of all content you create through CommitMind, including:

• Decisions, observations, learnings, rules, playbooks, specs, and capability docs you author or capture
• Tasks, todos, and phase transitions you create
• Repo metadata (org/project/branch/SHA references and Git remote URL) that anchors your captured content
• Diffs you choose to submit to AI features (commit messages, review, fix suggestions)

You grant CommitMind a limited license to store, process, embed, and serve this content back to you and to other authorized members of your organization for the purpose of operating the service. We do not use your code or captured content to train AI models, and content sent to our AI features is processed under zero-data-retention / no-training terms with our AI gateway and providers (see the Privacy Policy, Section 5).

6. AI features

CommitMind offers optional AI-assisted features — including AI commit messages, AI code review, and fix suggestions — that transmit the git diff of the change you are working on to our AI gateway and model providers to generate a result. Some of these features (e.g. AI commit messages) are enabled by default and can be toggled per project from the dashboard. AI output is generated by third-party models and may be inaccurate; you are responsible for reviewing any AI-generated message, review finding, or code suggestion before relying on or committing it. Do not submit content to AI features that you are not authorized to transmit to a third-party processor.

7. Service availability

CommitMind operates on a best-effort basis. We do not guarantee uninterrupted service and currently offer no uptime SLA. Scheduled maintenance and emergency outages may occur; we will provide notice when reasonably possible.

8. Pricing & billing

Paid plans are billed through our payment processor (Stripe) on the cycle shown at checkout, and certain AI features are metered by usage. See the pricing page for current plans. Fees are non-refundable except where required by law. On downgrade or cancellation, paid features stop at the end of the current billing period; your data is handled per the Privacy Policy.

9. Intellectual property

CommitMind, the CLI, daemon, dashboard, and all associated code, brand assets, and documentation are the intellectual property of CommitMind, Inc. and our licensors, except for components made available under their own open-source licenses, which are governed by those licenses. Nothing in these Terms transfers our IP to you beyond the limited right to use the service.

10. Termination

You may terminate your account at any time from the dashboard or by emailing support@commitmind.dev. We may suspend or terminate your account for material breach of these Terms, with notice when reasonably possible.

On termination, you may export your captured content within 30 days. After that period, we will delete your data per the Privacy Policy.

11. Disclaimer of warranties

To the maximum extent permitted by law, the service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of AI-generated output. You use the service, and rely on its output, at your own risk.

12. Limitation of liability

To the maximum extent permitted by law, CommitMind will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the service. Our total liability for any claim arising out of or relating to the service is limited to the greater of (a) the fees you paid us in the 12 months before the claim or (b) US $100.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, notify you by email or in-product notice before the changes take effect. Continued use of the service after changes take effect constitutes acceptance.
