Terms of Service
Last updated: [FILL: YYYY-MM-DD]
[FILL: Plain-English intro — e.g., "These Terms govern your use of CommitMind, the runtime for AI coding agents operated by CommitMind, Inc. ('CommitMind,' 'we,' 'us'). By creating an account or installing the CLI, you agree to these Terms. If you do not agree, do not use the service."]1. Acceptance of terms
[FILL: Standard acceptance clause — by signing up / using CLI / accessing dashboard you accept these Terms and our Privacy Policy.]2. Account & access
[FILL: Account creation requirements (email + agent token). Age requirement (typically 13+ or 18+ depending on jurisdiction). Accuracy of information. Single-user vs. shared accounts. You are responsible for maintaining account security and all activity under your account.]3. Acceptable use
You agree not to:
- Reverse engineer, decompile, or disassemble the CommitMind CLI, daemon, or APIs except as permitted by applicable law
- Use CommitMind to capture or store content you do not have the right to capture (e.g., third-party proprietary code without authorization)
- Attempt to access another organization's data or impersonate another user
- Use the service to violate any law, regulation, or third-party right
- Resell, redistribute, or sublicense the service without our written permission
- [FILL: Other restrictions specific to your policy]
4. Agent tokens & credentials
CommitMind issues agent tokens that authenticate the CLI, daemon, and dashboard against the cloud API on your behalf. Agent tokens are credentials that grant access to your project's data on CommitMind. You are responsible for protecting agent tokens as you would any other credential — do not commit them to source control, share them publicly, or transmit them over unencrypted channels.
If you suspect an agent token has been compromised, rotate it immediately via [FILL: dashboard URL or commitmind auth rotate CLI command]. We are not liable for losses caused by compromised tokens that result from your failure to protect them.
5. Your content
You retain ownership of all content you create through CommitMind, including:
- Decisions, observations, learnings, rules, and playbooks you author or capture
- Tasks, todos, and phase transitions you create
- Repo metadata (org/project/branch/sha references) that anchors your captured content
You grant CommitMind a limited license to store, process, and serve this content back to you and to other authorized members of your organization for the purpose of operating the service.
[FILL: Add explicit "we do NOT use your captured content to train AI models" if that's the policy — strong YC / trust signal. Or specify the precise scope of any analytics use.]6. Service availability
CommitMind operates on a best-effort basis. We do not guarantee uninterrupted service. [FILL: SLA language if any — typically none for free / pre-revenue tier.] Scheduled maintenance and emergency outages may occur; we will provide notice when reasonably possible.
7. Pricing & billing
[FILL: Reference the current pricing page (/pricing). Specify billing cycle (monthly / annual), refund policy, what happens to data on subscription downgrade or cancellation, and whether the Free tier remains available indefinitely.]8. Intellectual property
CommitMind, the CLI, daemon, dashboard, and all associated code, brand assets, and documentation are the intellectual property of CommitMind, Inc. and our licensors. [FILL: Specific IP language including any open-source license terms (the CLI may eventually be partially open source — adjust accordingly).]
9. Termination
You may terminate your account at any time via [FILL: dashboard URL] or by emailing [FILL: support email]. We may suspend or terminate your account for material breach of these Terms, with notice when reasonably possible.
On termination, you may export your captured content within [FILL: 30 days]. After that period, we will delete your data per the Privacy Policy.
10. Disclaimer of warranties
[FILL: Standard "AS IS" / "AS AVAILABLE" disclaimer. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.]11. Limitation of liability
[FILL: Liability cap — typically capped at fees paid in the prior 12 months, or $100 for free-tier users. Exclude indirect, consequential, special damages, and lost profits.]12. Governing law & disputes
These Terms are governed by the laws of [FILL: jurisdiction — e.g., the State of Delaware, United States], without regard to conflict of law rules. [FILL: Dispute resolution mechanism — e.g., binding arbitration in San Francisco, JAMS rules; or specific courts; class-action waiver if applicable.]
13. Changes to these terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, for material changes, notify you by email or in-product notice at least [FILL: 30 days] before the changes take effect. Continued use of the service after changes take effect constitutes acceptance.
